AeroVironment has disclosed in a Securities and Exchange Commission filing that directors David Wodlinger and Henry Albers resigned from the company’s board of directors effective June 17.

The company said both directors stated that their departures were not the result of any disagreement with management regarding AeroVironment’s operations, policies or practices.

When Did Wodlinger and Albers Join the Board?

Wodlinger, a 2026 Wash100 Award recipient and managing partner at Arlington Capital Partners, and Albers joined AeroVironment’s board in May 2025 following the company’s acquisition of defense technology firm BlueHalo.

The two executives were appointed as designees of Arlington Capital Partners under a shareholder agreement executed in connection with the $4.1 billion all-stock acquisition. At the time, their appointments expanded AeroVironment’s board to 10 directors.

According to the filing, Arlington Capital retains the right under the shareholder agreement to designate two successor directors to fill the vacancies created by the resignations.

No replacement directors had been named.

What Else Did AeroVironment Disclose?

The resignation announcement came as AeroVironment filed an amended quarterly report to restate financial results for the period ended Jan. 31, 2026. The company said the restatement stemmed from an error in a goodwill impairment analysis associated with its space reporting unit and does not affect previously reported revenue or cash flow figures.
